BYLAWS

Article I
This organization shall be known as Orange County Youth Football League, hereinafter referred
to as  Local League.

Article II - Objectives
The objective of the Local League shall be to implant firmly in the youth of the community the
ideals of good sportsmanship, honesty, loyalty, courage, and a respect for authority, so that they may be
well adjusted, stronger, and happier youth that may grow to be descent, healthy, and trustworthy citizens.

To achieve this objective, the Local League will provide a supervised program of competitive
football games under the Rules and Regulations of the Local League.  Directors, officers, and members
shall bear in mind that stressing exceptional skills or winning games is secondary and that good
sportsmanship and leadership extended to the youths is of primary importance.

Article III - Membership
The membership shall consist of the following:  player members, cheerleader members, and
regular members as herein described.

Player/Cheerleader Members:  Any boy or girl meeting requirements according to the Local League
according to the current year Rules and Regulations shall be eligible for participation in the League.

Regular Members:  Any adult age 18 or older who actively participates and is interested in
furthering the objective of the Local League may become a regular member.  All officers, board members,
committee members, coaches, volunteer officials, and other elected or appointed officials must be active
regular members in good standing.

Article IV - Membership Meetings
Membership meetings will be held the second Wednesday of each month at the time and place
discussed at the previous meeting.  No new proposals shall be introduced after 10 p.m. at these meetings.
The December membership meeting will be for General Election of league officers and the relating of any
required annual reports.  All elections will be by majority of regular voting members present with one
vote per town.

Article V - Board of Directors
The Board of Directors shall consist of the President, Vice-President, Commissioner, Town
Vice-Presidents, Treasurer, and Secretary.

The management of the property and affairs of the Local League and the government of this
organization shall be vested in the Board of Directors which shall be subject to the will of the
membership.

If any vacancy occurs in the Board of Directors due to the death, resignation, or otherwise, it may
be filled by a majority vote of the regular voting members at any regular meeting, or any special meeting
called for these purposes.  The replacement will complete the term of the departed member.  Elected
members of the Board shall serve a term of one year.

The President or the Secretary may issue a call for a special meeting of the Board.  The notice of
such a meeting shall be given by the Secretary to each Board Member.  The presence in person of a
majority of the Town Vice-Presidents(or their representative) shall constitute a quorum.  The Board may
adopt such rules and regulations for the conduct of its meetings as it deems proper.

The Board shall receive at the year-end meeting of the members of the Local League; the amount
of moneys applied, appropriated or expended during the year and the purposes, objects or persons to or
for which such applications, appropriations, or expenditures have been made.  In addition, the Board shall
receive names and places of residence of all persons who have membership in the Local League by
September meeting of each year.  Additional new members names and addresses shall be filled and
entered as necessary at the monthly meetings.  A report shall be filed and entered in the minutes of these
meetings.

The Board of Directors shall have the power by a majority vote of those present at any regular or
special meeting to discipline, suspend, or remove any Local League member or coach.

Article VI - Committees
Commitees will be appointed by the President of the regular membership as necessary.

Article VII - Officer Duties and Powers
The officers of the Local League shall consist of a President, one or more Vice-Presidents, a
Commissioner, a Secretary, and a Treasurer,  all of whom shall hold office for one year or until their
successors are duly elected.

President:  The President shall be responsible for conducting the affairs of the Local League and for
executing the policies established by the regular membership.

He shall present a report of the conditions of the Local League at an annual meeting and at such
other times as he or the Board shall deem proper.  He shall communicate to the Board of Directors such
matters and make such suggestions as may, in his opinion, tend to promote the welfare of the league.

It shall be the duty of the President to preside at all meetings of the organization, in accordance
with parliamentary procedure, to call special meetings when in his judgment they are necessary, or upon
written request of ten members.  He shall appoint all committees to enforce the observance of the
By-laws, and to install newly elected officers and members.

The President shall not vote on any question other than the election of officers and members,
except in the case of an equal division, when his vote shall decide.

First Vice President:  The first Vice-President shall assist the President in the discharge of his duties.  In
the case of the Presidents absence or disability, or should the office of the President become vacant, he
shall assume the duties of the President.

Town Vice-Presidents:  There will be one Vice-President elected for each town in the Local League.
All Vice-Presidents will assist the President in furthering the objectives of the Local League.  They will be
responsible for handling all matters within their town, including problems with coaches, players, parents,
and overseeing all aspects of fundraising activities and monetary expenditures.  Placements of any new
registrants after coaches selections from the draft have been made are the responsibility of the Town
Vice-President.  Town Vice-Presidents should establish safety policies and procedures that are known,
understood, and practiced by players and adult personnel, provide periodic inspections and maintenance
of their playing facilities and equipment, prepare for emergencies and training in First Aid.  He should
process Local League insurance claims.

Secretary:  The Secretary shall be responsible for recording the activities of the Local League and
maintaining appropriate files and necessary records.  The Secretary shall keep the minutes of the meetings
of the members and the Board of Directors, and cause them to be recorded in a book kept for that
purpose.

The Secretary shall maintain a list of members, Directors, and committee members and give notice
of all meetings of the Local League, the Board of Directors, and committees.  They shall keep mailing
lists and conduct such correspondence as may be required.

Treasurer:  The Treasure shall keep the accounts between the organization and its members and collect
all fees and assessments.  It shall be the duty of the Treasurer to receive all moneys due the organizations
general fund, give receipt for same, to pay all bills against the organization when authorized, keep a
correct account of all receipts and disbursements, and to submit the accounts to the Local League Board
of Directors when called for.  They shall deposit all moneys received by them belonging to the Local
League general fund in a bank or banks designated by the Local League.  They shall submit a balance
statement at each monthly meeting and a report covering the entire year at the year-end meeting.

Commissioner:  The Commissioners duties shall include making sure that every player is assigned to the
correct division and that each town receives a copy of every teams roster.  The Commisioner will keep
copies of every players registration form and will have them available for request.  The Commisioner will
also handle all rules questions and will bring those questions to the Board of Directors.

Article VIII - Player/Cheerleader Head Coaches
Head coaches will be responsible for the selection of their teams and for their actions on the field.
They will be responsible for the selection of their assistant coaches.  Head Coaches will be responsible for
the conduct and attitudes of the assistants as well as ensuring proper adherence to the Local Leagues
current Rules and Regulations.

Article IX - Rules and Regulations
The Rules and Regulations govern all aspects of the game for each season and revised annually.
The Rules and Regulations shall be determined by the Board of Directors.  Voting will be limited to one
vote per town.

Article X - Financing and Accounting
The Board of Directors shall not permit the contribution of funds or property to individual teams,
but shall solicit same for the common treasury of the Local League or local town division.

The Board of Directors shall not permit the solicitation of funds in the name of the Local League
without prior approval from the Local League.  Funds raised by individual town divisions for fundraising
can be kept separately in each town treasury with the Vice-President for that town responsible for its
accounting of receipts and disbursements.

Each town division is responsible for the maintenance and upkeep of all their equipment and
property for that town.  The Local League will obtain yearly insurance coverage with the responsibility of
each town to pay their share of the insurance costs according to its membership registration.  Each
individual town is responsible for contributing funds toward the end of season trophies, as well as any
Local League expenses previously agreed upon.

Article XI - Amendments
The By-laws for the Local League may be amended, repealed, or altered in whole or in part by a
majority vote at any meeting of the regular voting members provided notice of the meeting and proposed
changes are given in writing ten days prior to such a meeting.  Following this meeting, these proposals
will be submitted at the next regular meeting for discussion and decision.
